Terms of Service

Effective July 31, 2026

1 - Introduction

Please read these Website Terms of Service (“Terms”) carefully before using any website and any services made available via such website(s) (collectively, the “Site”) operated by Cirrus Identity, Inc., a Delaware corporation (“Cirrus Identity”, “we”, “our” or “us”). These Terms govern an individual’s (“End User”, “you” or “your”) use of the Site that links to these Terms including cirrusidentity.com and each of its subdomains, including our website (marketing, product documentation, and public compliance statements), our Cirrus Identity Support Center, and our administrative interfaces (Cirrus Identity Console and Cirrus Identity ID Admin). By accessing, using, downloading, or logging into the Site, you agree (on behalf of yourself or the entity you represent) to be bound by and abide by these Terms and our Privacy Policy found at https://www.cirrusidentity.com/privacy-policy, incorporated herein by reference and you represent and warrant that you have the right, authority, and capacity to enter into these Terms (on behalf of yourself or the entity that you represent). If you do not want to agree to these Terms or the Privacy Policy, you must not access, use, download or log into the Site. The Terms are a legally binding agreement between you and Cirrus Identity. By accessing, using, downloading or logging into the Site, you represent and warrant to Cirrus Identity that:

(a) if you are an individual, you are 18 years or older and have full power and authority to agree to these Terms;

(b) your agreement to these Terms will not violate any other agreement or understanding to which you are a party;

(c) you are not currently restricted from using the Site; and

(d) you are not using the Site for reasons that are in competition with Cirrus Identity.

If at any time you do not agree with any of these Terms, you must immediately stop using the Site. 

We may revise the Terms at any time without notice to you. The revised Terms will be effective as of the “Last Updated Date” referenced at the beginning of the Terms. You should revisit these Terms on a regular basis, as revised versions will be binding on you. You understand and agree that your continued access to or use of the Site after the “Last Updated Date” indicates your acceptance of such changes.

Where a contractual agreement (the “Agreement”) exists between an organization (the “Customer”) and Cirrus Identity, the terms and conditions for the Customer’s use of Cirrus Identity services are defined by the Agreement and takes precedence to these Terms. As needed, a Customer Agreement may make reference to these Terms.

You should carefully review our Privacy Policy (https://www.cirrusidentity.com/privacy-policy) as it also governs Your use of the Site and certain Cirrus Identity activities. The Privacy Policy is incorporated by reference into these Terms.

2 - Notice of General Rights

BY ACCESSING OR USING THE SITE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS, INCLUDING WITHOUT LIMITATION THE DISCLAIMERS OF REPRESENTATIONS AND WARRANTIES AND THE LIMITATIONS OF LIABILITY. YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS BY AGREEING TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MAY NOT USE THE SITE.

3 - Intellectual Property

Except as otherwise provided, the Site and all of the content that is made available in connection with the Site (collectively “Site Content”), including but not limited to visual interfaces, interactive features, graphics, design, databases, the data contained therein, computer code, products, software, and all other elements and components of the Site is the exclusive property of Cirrus Identity. All rights, title, and interest not expressly granted with respect to the Site and content provided on or made available through the Site are reserved and retained by Cirrus Identity, its licensors, and content providers.

The Site Content contains graphics, logos, designs, icons, product and service names, page elements, and trademarks owned by Cirrus Identity and may not be used in any manner without prior written permission of Cirrus Identity. All other graphics, logos, designs, icons, product and service names, and page elements that may appear as Site Content are the property of their respective owners, who may or may not be affiliated with, connected, or sponsored by Cirrus Identity. 

Aside from third-party materials, all materials contained by Site Content are the exclusive property of Cirrus Identity and/or its licensors, and are protected by all United States and international copyright laws.

4 - Acceptable Access and Use of the Site

When you access the Site and Site Content, you agree to use the Site only for purposes that are permitted by these Terms, and any applicable law, regulation, or generally accepted practices in the relevant jurisdictions. You further agree to be solely responsible for any breach of your obligations under these Terms, and for the consequences of any such breach. 

Access to certain areas of the Site is restricted. Cirrus Identity reserves the right to restrict access to other areas of this website, or indeed the entire Site, at Cirrus Identity’s discretion.

As a condition of Site use, you warrant to Cirrus Identity that You will not use the Site for any purpose that is unlawful or otherwise in violation of these Terms. Whether through your direct use, or on behalf of any third party, You agree not to:

(a) access, attempt to access, or use the Site (in full or in part) with an interface other than one provided by Cirrus Identity;

(b)  access, attempt to access, or use the Site (in full or in part) through any automated means, including but not limited to the use of scripts, web crawlers, or other forms of automation;

(c) access, attempt to access, or use the Site in any manner that could damage, disable, overburden, place an unreasonable load on, interfere or attempt to interfere with the proper working of, or impair the Site, its computer systems, network, or availability to Customers;

(d) access, attempt to access, or use the Site for the purpose of sending unsolicited or unauthorized emails or other forms of electronic messaging;

(e) access, attempt to access, or use the Site for the purpose of storage or transmission of infringing, libelous, tortious, or otherwise unlawful materials;

(f) access, attempt to access, or use the Site to copy, store, host, transmit, send, use, publish, or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit, or other malicious software;

(g) display, republish, or distribute material from the Site to the public via any method without prior Cirrus Identity written consent;

(h) sell, rent, sub-license, reproduce, duplicate, adapt, translate, reverse engineer, decompile, disassemble, copy, or otherwise use material on this website for a commercial benefit without prior Cirrus Identity written consent except and to the extent required by third party licensing terms governing use of certain open source components that may be included;

(i) remove or modify any copyright or other intellectual property notices that appear on the Site or any Site Content;

(j) edit or otherwise modify the Site or any Site Content;

(k) attempt to gain unauthorized access to any parts of the Site, any user accounts, or the Site’s computer systems or networks;

(l) attempt to bypass or otherwise subvert the access controls of the Site or the Site’s computer systems or networks;

(m) restrict, attempt to restrict, inhibit, or attempt to inhibit another person from using the site;

(n) divert or attempt to divert Cirrus Identity customers to another website, mobile application, or service;

(o) violate these Terms, or use the Site to violate the rights of others.

5 - Account Access

It is your responsibility to ensure your computer system or other device meets all the necessary technical specifications to enable you to access and use the Site. To access certain Site Content, you may be required to either create an account with an associated password, or register with an account you individually control and from a provider that Cirrus Identity authorizes at its exclusive discretion. In either case and subject to exceptions provided by Customer agreements with Cirrus Identity, you must be at least 18 years old and provide current, complete, truthful, and accurate information as prompted by applicable registration form(s). If your information changes at any time, you agree to update your registration to reflect those changes.  You agree that all information provided by you is governed by our Privacy Policy (https://www.cirrusidentity.com/privacy-policy), and you consent to all actions taken with respect to your information consistent with our Privacy Policy.

If the account you use to access Site Content is assigned and/or managed by a Customer or a third party, then additional terms may apply to your use of the Site. The Customer or the third party may be able to access or disable Your account with or without Cirrus Identity involvement. The Customer or the third party may also have information related to your access shared with them by Cirrus Identity.

The account you use to access the Site or any Site Content must be individually assigned to you. You may not use the account for access if you share your account or the information related to your account with anyone else. You are responsible for maintaining the confidentiality of and preventing the unauthorized use of the account you use to access the Site or any Site Content. You must immediately notify Cirrus Identity and the Customer/third party as appropriate of any confidentiality breach or unauthorized use of your account or account information. Cirrus Identity cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. Cirrus Identity reserves the right to deregister, suspend, disable, deactivate, or block your account, at any time, for any or no reason. 

6 - Submissions, Security Concerns, and Feedback

You and other users of the Site may have the ability to enter, input, submit, post, upload, or otherwise make available (“Enter” or “Entering”) certain information, configurations, support ticket submissions, request submissions, content, pictures, and documents through the Site (each a “Submission”). Unless otherwise covered by a Customer Agreement and to the maximum extent permitted under applicable law, by Entering Your Submission(s), you grant Cirrus Identity permission to copy, modify, reformat, and otherwise use such Submission(s) for any purpose by Cirrus Identity, Cirrus Identity affiliates, and any suppliers of the Site and/or Our services. It is a condition of your use of the Site that all Submission(s) you provide on the Site are correct, current and complete. You agree that all Submission(s) are governed by our Privacy Policy located at https://www.cirrusidentity.com/privacy-policy, and you consent to all actions We take with respect to your Submission(s) consistent with our Privacy Policy.

If you Enter or otherwise make available to Cirrus Identity by directing to security@cirrusidentity.com any security concerns discovered in the course of normal product usage (each a “Security Concern”), you hereby acknowledge and agree that such a Security Concern is confidential information between you and Cirrus Identity, and that your disclosure to Cirrus Identity of a Security Concern is gratuitous, unsolicited, and without restriction. Further, unless otherwise covered by a Customer Agreement and to the maximum extent permitted under applicable law, You acknowledge and agree that said Security Concern does not place Cirrus Identity under any fiduciary or other obligation.

If you Enter or otherwise make available to Cirrus Identity any suggestions, enhancement requests, recommendations, corrections or other feedback (“Feedback”), you agree that (i) your Feedback does not contain the confidential proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Feedback, (iii) we may have something similar to the Feedback already under consideration or in development, and (iv) you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback and related information in any manner we deem appropriate, and you irrevocably waive, and cause to be waived, against Cirrus Identity and its users any claims and assertions of any moral rights contained in such Feedback. We will treat any Feedback you provide to us as non-confidential and non-proprietary.

7 - Third Party Web Content

The Site includes links to third party sites, services, products, or materials not under Cirrus Identity control (collectively, “Third Party Sites”). Cirrus Identity provides links to Third Party Sites as a convenience, we do not endorse any linked Third Party Site, and we take no responsibility for the content of Third Party sites. You agree that we are not responsible for the availability or contents of such Third Party Sites. You understand that we have no obligation to, and generally do not approve or monitor materials linked from Third Party Sites. YOUR USE OF THIRD PARTY SITES IS AT YOUR OWN RISK, AND IS SUBJECT TO ANY TERMS, CONDITIONS, AND POLICIES APPLICABLE TO SUCH THIRD PARTY SITES, INCLUDING THE THIRD PARTY’S PRIVACY AND DATA GATHERING PRACTICES. You should make whatever investigations you feel necessary or appropriate before proceeding with any transaction in connection with such Third Party Sites.

8 - Disclaimer

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.  YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER CIRRUS IDENTITY NOR ANY PERSON ASSOCIATED WITH CIRRUS IDENTITY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE. WITHOUT LIMITING THE FOREGOING, NEITHER CIRRUS IDENTITY NOR ANYONE ASSOCIATED WITH CIRRUS IDENTITY REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.  CIRRUS IDENTITY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.  THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

9 - Limitations of Liability

THE CIRRUS IDENTITY PARTIES DISCLAIM AND SHALL HAVE NO LIABILITY FOR ANY (i) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (ii) LOSS OF PROFITS, (iii) BUSINESS INTERRUPTION, (iv) REPUTATIONAL HARM, OR (v) LOSS OF INFORMATION OR DATA, IN EACH CASE ARISING OUT OF, BASED ON, OR RESULTING FROM THESE TERMS OR YOUR USE OF THE SITE, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE CIRRUS IDENTITY PARTIES’ COLLECTIVE MAXIMUM AGGREGATE LIABILITY TO YOU FOR LOSSES OR DAMAGES THAT YOU SUFFER IN CONNECTION WITH THE SITE OR THESE TERMS, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH THESE TERMS, THE SITE, OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO OR USE OF THE SITE. 

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10 - Indemnity

You agree to indemnify, defend, and hold Cirrus Identity, its parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, and the shareholders, officers, directors, employees, agents and representatives of each of them (collectively, the "Cirrus Identity Parties") harmless against all costs, liabilities, damages, claims, demands, and legal fees arising out of or relating to (i) your access to or use of the Site, (ii) your violation of the Terms, including without limitation your breach of any representation or warranty contained herein, or (iii) the infringement by you of any intellectual property or other right of any person or entity. We reserve the right (but not the obligation) to assume the exclusive defense and control of any matter for which you are required to indemnify the Cirrus Identity Parties and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Cirrus Identity. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it. Each of the Cirrus Identity Parties is an express third party beneficiary of this indemnity with full rights to enforce its terms.

11 - Governing Law

These Terms will be governed by and construed in accordance with California law, without regard to conflicts of law principles, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of the State of California located in the City of San Francisco.

Any such dispute shall be resolved on an individual basis, and shall not be consolidated with any claim or controversy of any other party (including without limitation any class action claim).  EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY DISPUTE ARISING OUT OF, UNDER OR IN CONNECTION WITH THE SITE AND THESE TERMS OF USE.

12 - Modification, Termination, and Severability

We reserve the right to modify, update, or discontinue the Site and any Site Content at our sole discretion, at any time, for any or no reason, and without notice or liability. We further reserve the right to modify these Terms at our sole discretion, at any time, for any or no reason, and without notice or liability. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuation of the Site or any part thereof. All provisions of these Terms which by their nature should survive termination shall survive the termination of your use and access to the Site, including, without limitation, provisions regarding ownership, warranty disclaimers, indemnity, and limitations of liability. Upon termination of your rights under these Terms, your account and right to access and use the Site will terminate immediately. You understand that any termination of your account may involve deletion of your Submissions associated with your account from our live databases. Cirrus Identity will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your account or deletion of your Submissions.

You acknowledge and agree that Cirrus Identity will have no obligation to provide you with any support or maintenance in connection with the Site.

If any provision of the Terms is found to be unenforceable or invalid, then only that provision shall be modified to reflect the parties' intention or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

Unless otherwise covered by a Customer Agreement, Cirrus Identity may terminate your privilege to use or access the Site immediately and without notice for any reason or no reason whatsoever. You acknowledge that Cirrus Identity reserves the right to take technical, administrative, and/or legal actions to prevent your ability to access the Site. These actions may include but are not limited to suspending your access to the Site, prohibiting you from accessing the Site, blocking computers using your network address from accessing the Site, contacting your internet service provider to request that they block your access to the Site, and/or bringing court proceedings against you. You understand and agree Cirrus Identity may exercise this right in its sole discretion. The remedies available to Cirrus Identity under these Terms are cumulative and not exclusive.

13 - Other Parties

You accept that, as a limited liability entity, Cirrus Identity has an interest in limiting the personal liability of its shareholders, directors, officers and employees. You agree that you will not bring any claim personally against Cirrus Identity’s shareholders, directors, officers or employees in respect of any losses you suffer in connection with the website.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in these Terms will protect each of the Cirrus Identity parties.

14 - General

By using the Site, you agree that the exclusions and limitations of liability set out in these Terms are reasonable. If you do not think they are reasonable, you must not use the Site.

If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Product of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Except as otherwise stated in “Indemnity” above, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.

The Terms contain the entire agreement between you and us regarding the use of the Site, and supersede any prior agreement between you and us on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms.

Any failure on our part to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

The Terms, and any rights or obligations hereunder, are not assignable, transferable or sublicensable by you except with Cirrus Identity’s prior written consent, but may be assigned or transferred by us without restriction. Any attempted assignment by you shall violate these Terms and be void.

The section titles in the Terms are for convenience only and have no legal or contractual effect.

15 - Notices and Questions

If you believe Site Content infringes your intellectual property rights, you may request the removal of the material by contacting us using the Cirrus Identity Support Center at https://www.cirrusidentity.com/resources/support-center. To send other notices to Cirrus Identity, or if you have any questions regarding these Terms, please also contact us using the Cirrus Identity Support Center at https://www.cirrusidentity.com/resources/support-center. We may provide you with responses by email, regular mail, or communications through the Site.
